Treasury Eases Corporate Transparency Act Burden for Small Businesses
AmericanHort, along with more than 100 trade associations representing Main Street businesses, sent a letter applauding the Treasury Department’s interim final rule that significantly eases the Corporate Transparency Act’s (CTA) burdensome reporting requirements. The new rule exempts domestic reporting companies and certain U.S. persons from having to disclose beneficial ownership information (BOI), shifting from a broad mandate to a more targeted, risk-based enforcement approach. This change spares millions of small businesses from complex compliance obligations and potential penalties while also addressing privacy concerns and enabling regulators to focus on entities that pose real risks. Although some CTA proponents may pursue legal challenges, the Treasury Department appears to be on solid legal ground. Advocates maintain that a full repeal of the CTA is still warranted and are urging continued pressure on Congress and the courts.
